Navigant Consulting, Inc. has acquired Daylight Forensic & Advisory LLC, an international regulatory consulting and investigative firm and a player in the rapidly developing Foreign Corrupt Practices Act compliance industry.
According to a Navigant news release, the company will pay $30 million initially to acquire Daylight and additional $10 million on the first anniversary of the transaction.
Navigant is a consulting firm that provides dispute, financial, regulatory and operational advice. The acquisition will give them a greater foothold in the forensic, investigative and regulatory compliance market, the release said.

Daylight Forensic & Advisory is headquartered in New York City and the majority of their 65 consulting professionals are based there. Daylight Forensic & Advisory was founded in 2006 by Ellen Zimiles, Chief Executive Officer, and Joseph Spinelli, Chief Operating Officer. Zimiles has more than 25 years of litigation and investigation experience, including 10 years as a federal prosecutor in the Southern District of New York. Under the terms of the acquisition agreement, Navigant paid $30 million in cash at the closing, with an additional $10 million cash payment payable on the one year anniversary of the transaction. The majority owner of Daylight Forensic & Advisory is the growth equity firm FTV Capital. The acquisition is expected to be modestly accretive from an earnings per share standpoint in fiscal year 2010.
